General Definitions

The following terms of service ("Terms") apply to the use of the NaorX.com website ("Website") and all services provided by Naor Cohen ("Company", "we", "our"). Use of the website and/or services constitutes complete and unconditional agreement to these terms. The Company specializes in developing smart bots for various platforms including Discord, WhatsApp, Telegram, advanced website development, business automation systems, artificial intelligence solutions, and technology consulting services. Each service is provided according to the technical specifications agreed upon in advance with the client, while maintaining high quality, professionalism and adherence to schedules. The website serves as a digital showcase presenting the range of services, portfolio, client testimonials, and professional articles in the field of technology and artificial intelligence.

Services and Products

The Company provides a wide range of development and technology services tailored to the business and technological needs of its clients. Bot development services include advanced bots for Discord platforms with advanced management systems, full automation and database integrations; WhatsApp Business bots capable of managing automatic conversations, appointment scheduling, 24/7 customer service, and CRM system integrations; and Telegram bots with advanced automation capabilities. Website development services include fully responsive websites adapted for all devices, advanced content management systems, online stores with secure payment systems, business management panels with advanced analytics, and integrations with various external systems. Business automation systems include automatic workflows that save time and resources, integrations between different systems, automation of sales and marketing processes, and automatic reporting systems. Artificial intelligence solutions include algorithms customized to business needs, natural language processing, smart data analysis, and intelligent recommendation systems.

Engagement and Payment Terms

Every project begins with a free preliminary consultation meeting to clarify needs and technical requirements. After understanding the project, we prepare a detailed quote including complete breakdown of services, clear timeline with milestones, and transparent pricing without hidden costs. Payment is made in stages conditional on project progress: 50% advance payment upon contract signing, 30% midway through development after approval of a major milestone, and 20% upon final delivery and client approval. All payments are made through secure means including bank transfer, PayPal, or Stripe. The Company reserves the right to stop work in case of payment delays of more than 14 days. Service prices are determined according to project scope, technical complexity, required timelines, and expected number of hours. Any change in project scope after quote approval requires written agreement and price update accordingly.

Intellectual Property and Copyrights

All code, designs, algorithms, and technological solutions developed within the project framework transfer to full client ownership upon completion of final payment, except for generic components and external libraries in free use. The Company reserves the right to use general knowledge acquired during the project for developing future solutions, without exposing confidential or unique client information. All final products include clean and documented code, detailed user guides, and explanation of technical functionality. The client receives full access to all code files, databases, and project documentation. The Company undertakes not to use copyright-protected components without appropriate licensing, and to ensure all supplied code is free from copyright violations. In case of using external libraries or tools, this will be explicitly noted with required licensing details.

Confidentiality and Information Protection

The Company undertakes to maintain absolute confidentiality regarding all information transferred by the client, including business data, technical information, business strategies, client lists, and financial details. All information is stored in secure systems with advanced encryption and daily backups. Access to information is limited only to relevant development team members signed on separate confidentiality agreements. We implement advanced information protection protocols including multi-layer access, tracking of all system operations, and periodic security checks. In case of project completion, all client information is deleted from our systems within 30 days, except archival backups kept for legal purposes only. Information will not be transferred to third parties without explicit written consent from the client, except in exceptional cases prescribed by law. The Company complies with GDPR standards for personal information protection and maintains implementation of advanced information security procedures.

Warranty and Technical Support

The Company provides full warranty on all projects for 30 days from final delivery date, including fixing any bug or technical malfunction at no additional cost. Technical support includes solving existing problems, critical security updates, and minor adjustments required as a result of external changes. After the warranty period, the Company offers various maintenance packages tailored to client needs, including ongoing support, technological updates, and performance improvements. Response times for support requests are up to 24 hours on weekdays for regular issues, and up to 4 hours for critical malfunctions affecting regular business activity. The Company is not responsible for damages caused by improper system use, changes made by external parties, or failures in external systems not under our control. All warranty limitations and exceptions will be explicitly detailed in the project agreement.

Website and Data Usage

Website use is permitted only for legal purposes and in accordance with these terms. Any action that may harm website functionality is prohibited, including hacking attempts, overloading, or injecting malicious code. The website may collect anonymous statistical information about website use, including visited pages, dwell time, and traffic source, for service improvement purposes only. We use advanced technologies for user behavior analysis such as Google Analytics, while maintaining user privacy. Analytics information helps us understand client needs and improve website user experience. All data is stored in accordance with international privacy protection regulations and deleted regularly after a reasonable period. Users may request to delete information collected about them or limit its use at any time by contacting us directly.

Liability Limitations

Services are provided "as is" without any declaration or warranty of any kind. The Company does not undertake that services will be continuously available without interruptions, or that they will be free from malfunctions or errors. The Company will not be liable for any direct, indirect, consequential, or special damage caused as a result of use or inability to use the services, except in cases of gross negligence or breach of fundamental obligation. The Company's cumulative liability in any case will not exceed the amount paid for the specific service for which damage is claimed. These limitations will not apply in cases where law prohibits liability limitation, especially in cases of bodily or property damage caused intentionally or through gross negligence. The client undertakes to examine service suitability for their needs before placing the order and to immediately notify of any problem or incompatibility discovered.

Changes to Terms

The Company reserves the right to update and change these terms from time to time, according to technological developments, legislative changes, or service improvements. Any material change will be published on the website at least 30 days before taking effect, including clear notice of changes and implementation date. Active users will receive notice of changes via email to the address provided during engagement. Continued use of the website or services after publication of changes constitutes agreement to updated terms. A user who does not agree to changes may stop using services and request deletion of their information. Non-material changes, such as error corrections or clarifications, may take effect immediately. Information about changes will be kept on the website for at least one year from their publication date.

Termination of Engagement

Either party may terminate the engagement with 30 days' notice, subject to fulfilling all existing financial and contractual obligations. In case of fundamental breach of terms by either party, the other party may terminate the engagement immediately after giving 7 days' notice to remedy the breach. Upon termination of engagement, the client will continue to enjoy full ownership of all products developed for them, and all confidential information will be returned or deleted according to their request. The Company will continue to provide limited technical support for an additional 60 days at no cost, including answering basic questions and fixing critical bugs. Confidentiality and information protection obligations will remain in effect even after termination of engagement without time limitation. Any financial or legal obligation accumulated until the termination date will remain in effect and must be fully executed.

Dispute Resolution and Applicable Law

Any dispute arising from or related to these terms will be resolved through good faith negotiation between the parties. If the dispute cannot be resolved within 30 days, it will be transferred for clarification to the competent court in Tel Aviv, Israel. Israeli law will apply to these terms and any dispute arising from them, except international choice of law rules. Before filing a lawsuit, the parties undertake to try to resolve the dispute through mediation or arbitration, unless it's an urgent matter requiring temporary relief. All legal expenses and handling will be borne by the party determined responsible for the breach, unless the court decides otherwise. These terms constitute the complete agreement between the parties and replace any previous agreement, whether written or oral. Any waiver of right or condition will be valid only if made in writing and signed by the waiving party.
